Acceptance of Terms
These Terms of Use ("Terms") apply when you use the websites of Alogram Inc. and our affiliates (collectively, “Site”). Understanding these Terms is important because by using the Site you are agreeing to these Terms. If you do not agree, do not use the Site.
When we reference “Alogram,” “we,” “us,” and “our,” we mean Alogram Inc. and its affiliates.

The page designs, page interactions and digital assets including text, graphics, images, videos, documents, logos, trademarks, artwork, source code on the Site (collectively, “Content”) are owned, controlled, licensed by or granted use to Alogram and is protected by law. No part of the Site shall be copied, reproduced, distributed, published, or otherwise used without our express previous written consent unless otherwise stated in these Terms.
You may use information or documentation regarding our products or services for non-commercial purposes as long as you do not alter them or distribute them. We make no warranties on the information or documentation that you may use in this way.

We grant you a personal, non-exclusive, non-transferrable, revocable right to enter and use the Site in accordance with these terms for so long as you comply with these Terms and all applicable laws. We own all rights, title, and interest in and to the Site and its Content.

Payments
We process payments through third-party providers (Chargebee and GoCardless). Your use of the website’s payment features is subject to their respective Terms of Service.
Third Party Services
We are not responsible for any third party websites, software, services or other products you use in connection with the Site; third party software is subject to its own terms.
Relationship to the Parties
Our relationship is an independent contractor relationship and neither party will have the power to bind or incur obligations on the other’s behalf without the other party’s written consent. These Terms do not create a partnership, a joint venture or an agency relationship between you and Alogram.
Confidentiality
Confidential Information includes information or communications designated as confidential by Alogram, and/or business information that is not public. During your use of the Site you may be given access to Confidential Information. You may use Confidential information only as may be necessary to use the Site, or as directed at the time you were given access. You may not copy, share, sell, reproduce, distribute, or make public any Confidential Information to any third party.
You may disclose Confidential information when required by law, upon a valid court order, or upon mandate from a valid government authority if you provide reasonable prior written notice to us. In such a case, you agree to reasonably limit the scope of information disclosed to only what is needed in the context of the request from the government authority and to assist us in challenging the disclosure if and when possible.

Term and Termination; Violation of Terms; Remedies
Termination
These terms take effect when you first use the Site and remain in effect until terminated. You may terminate these Terms at any time for any reason by discontinuing the use of the Site and Content.
Violation
We may in our sole discretion and without prior notice, terminate or suspend your access to the Site if we believe you have violated these Terms or other policies governing the Site, if your use poses a security risk to us or any third party, if we suspect your use is fraudulent or in violation of the law, or could subject us or others to liability.
Effect of Termination
Upon termination, you will stop using the Site and you will promptly return and destroy any Confidential Information.
Remedies
You acknowledge that breach of these Terms will cause irreparable harm to us and you consent that we may obtain injunctive or equitable relief as we deem necessary to recover costs associated with seeking such injunction. These remedies are in addition to any other remedies we may have as provided by law.
Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend and hold Alogram, its personnel, its affiliates, subsidiaries, shareholders, predecessors and successors in interest harmless from any claims, demands, loss, liability, loss or expenses (including attorneys’ fees) arising from or in connection with your use of the Site, your breach of these Terms, or violation of applicable law.
Disclaimer of Warranties
TO THE EXTENT ALLOWED BY APPLICABLE LAW, WE PROVIDE THE SITE “AS IS” AND “AS AVAILABLE” WITHOUT ANY EXPRESS, IMPLIED, OR STATUTORY WARRANTIES. Limitation of Liability
TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW, NEITHER ALOGRAM NOR ANY OF OUR AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUE OR PROFITS, GOODWILL, USE, OMISSIONS, DATA OR OTHER LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Governing Law
Your use of the Site and its Terms shall be governed by the State of California located in the USA, regardless of conflict of law rules. You agree to the personal and exclusive jurisdiction of the federal or state courts located in San Diego County, California, USA.
Dispute Resolution
We are committed to working with you to address concerns that may arise in connection with your use of the Site. In the event that a dispute does arise, you agree to attempt in good faith to resolve it together. If we are not able to resolve the dispute within a reasonable time, then either party may submit to mediation. If the dispute cannot be resolved through mediation then either party shall be free to pursue any right or remedy available to them under applicable law. Any claims under these Terms must be brought within twelve (12) months after the event giving rise to the cause of action otherwise such claim will be barred.
Other General Terms
Intellectual Property
You may not use brand names, trademarks, images or logos of Alogram, the Site, or any of its affiliates.
Alogram’s fraud detection and management technology is protected by U.S. Patent No. 12,400,164.
Additional intellectual property is in development to further advance AI-native risk detection and compliance automation.
Waiver
If you do not comply with these Terms and we do not take immediate action, this does not mean we are giving up any of our rights.
Severability
If any provision in these Terms is determined to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and will not affect the enforceability of any other provisions in the Terms.
Links to Third Party Sites
We may include links to third party sites as a convenience to you. These links are not under our control and we are not responsible for the contents and data transmission of any linked site or any link contained within a linked site.
Feedback
Any feedback you provide shall be deemed non-confidential and we may use it without restriction or compensation to you.
Assignment and Delegation
You may not assign, transfer or delegate any rights or obligations under these Terms and any attempt to do so shall be automatically void and null. We may assign these Terms in connection with one of our subsidiaries, merger, acquisition, or restructuring/reorganization of the company.
Unsolicited Ideas
We appreciate your excitement and ideas regarding our products and services. However, we do not accept unsolicited ideas for website content, marketing strategies, technologies, products or services because we wish to avoid any potential ambiguity or similarity of such unsolicited submissions that may be similar to existing or future Alogram creations.

Alogram Inc. - Subscription Terms of Service (TOS)
Effective Date: October 16, 2024
Welcome to Alogram Inc. These Terms of Service ("TOS") govern your use of the SaaS services provided by Alogram Inc. (“Company,” “we,” or “our”). By subscribing to any of our subscription tiers (Starter, Growth, or Scale), you agree to these terms.
1. Subscription Plans
We offer three subscription plans:
Starter: $1,000 per month, up to 50,000 fraud predictions per month. Overage fee of $0.15 per prediction above 50,000. Includes AI-powered fraud predictions.
Growth: $7,000 per month, up to 500,000 fraud predictions per month. Overage fee of $0.10 per prediction above 500,000. Includes AI-powered fraud predictions.
Scale: $20,000 per month, up to 5 million fraud predictions per month. Overage fee of $0.05 per prediction above 5 million. Includes AI-powered fraud predictions.
Note: All fees quoted exclude sales taxes where applicable.
2. Account Creation
To access our services, you must create an account. You are responsible for safeguarding your account credentials and ensuring they are not shared with unauthorized users. Any activities conducted under your account are your responsibility.
3. Billing and Renewals
Payments for subscriptions to our services are processed through third-party provider GoCardless, exclusively via ACH (Automated Clearing House) or bank transfer. By subscribing to our services, you agree to the Terms of Service and Privacy Policies of GoCardless. We do not store your banking information; all payment details are securely processed by GoCardless in compliance with industry-standard regulations.
Fees are automatically deducted from your bank account at the beginning of each billing cycle.
Subscriptions renew automatically unless canceled before the renewal date.
Payments will be processed by Chargebee, using GoCardless as the payment gateway, on a monthly basis.
Additional fees may apply for usage exceeding your plan’s limits.
You agree to pay all fees associated with your subscription, including taxes, and overage charges for fraud predictions that exceed the limits of your plan.
Any changes in pricing will be communicated at least 30 days prior to implementation.
Prorated billing will apply if you upgrade your plan during a billing cycle.
Downgrades or cancellations do not qualify for prorated refunds.
All subscription fees are billed on a monthly basis unless otherwise stated. You agree to pay the applicable subscription fees via ACH/bank transfer and any other charges incurred in connection with your account, including any taxes, fees, or overage charges. Failure to pay these fees may result in the suspension or termination of your account. Overage fees apply if your usage exceeds the limits of your selected plan.
4. Usage Limits and Overage Charges
Each subscription tier has specified usage limits. If your usage exceeds these limits, additional overage fees will be charged as outlined in your plan. Overage fees will be billed at the end of the billing cycle.
5. Subscription Management
You may manage your subscription, including upgrades, downgrades, or cancellations, through the customer portal provided by GoCardless. Changes to your subscription will take effect at the start of the next billing cycle.
6. Refund Policy
Alogram Inc. offers a simple and transparent refund policy:
Refunds for Technical Issues: If you experience a technical issue that prevents you from accessing or using the service as intended, and we are unable to resolve it within 7 days, you may request a refund for the current billing period.
No Refunds for Change of Mind or Unused Services: Once a subscription payment is processed, refunds are not available for change of mind or unused services.
Pro-rated Refunds for Service Failures: In cases where a service outage or system failure is attributable to Alogram Inc. and significantly affects your usage for more than 24 hours, we will issue a pro-rated refund for the downtime based on the time the service was unavailable.
All refund requests must be submitted via email to [email protected].
For billing disputes, please contact us within 30 days of the charge in question. Disputes regarding ACH payments can be initiated through your bank, but we recommend reaching out to us directly for faster resolution to avoid service interruptions.
7. Service Availability and Modifications
We strive to ensure continuous availability of our services. However, we may perform maintenance or upgrades that may result in temporary downtime. You will be notified of planned outages via email or in-app notifications.
8. Data Collection and Use
By using our services, you agree that Alogram Inc. may collect, process, and use data provided by you, including but not limited to user interactions, transactions, and metadata. This data may be used for:
Improving and optimizing the service.
Training and enhancing machine learning models that Alogram Inc. may use commercially.
Anonymizing and aggregating data for research, reporting, and analysis purposes.
9. Data Ownership and Control
You retain ownership of any data you submit, upload, or generate through your use of the service.
By providing us with data, you grant Alogram Inc. a non-exclusive, worldwide, royalty-free license to use, process, and derive insights from the data for the purposes stated above.
Any personally identifiable information (PII) will be handled in compliance with our Privacy Policy here and applicable data protection laws (e.g., GDPR, CCPA).
10. Data Security

13. Beta Release Disclaimer
You acknowledge that the service is in a beta release phase and may contain bugs, errors, or interruptions. The purpose of this beta phase is to collect feedback, test new features, and improve the service before a general release.
We do not guarantee uninterrupted or error-free service during the beta phase.
Features or performance during this beta phase may not be indicative of the final release version.
You agree that your use of the service during the beta phase is at your own risk, and the service is provided on an "as-is" basis.
14. User Feedback
By participating in the beta phase, you agree to provide feedback regarding your experience using the service.
Any feedback you provide, including suggestions, ideas, or improvements, becomes the sole property of Alogram Inc. without any obligation to compensate you.
We may use this feedback for any purpose, including enhancing and improving the service, and may incorporate your feedback into the final release.
15. Limited Liability During Beta Phase
Due to the beta nature of the service, Alogram Inc. disclaims all liability for damages or losses, including but not limited to data loss, interruptions, or errors, resulting from your participation in the beta release phase. Our liability is limited to the extent permitted by law, and in no event will Alogram Inc. be liable for any indirect or consequential damages arising from your use of the beta service.
16. Termination of Beta Access
We reserve the right to terminate or limit access to the beta phase of the service at any time, for any reason, without prior notice. Participation in the beta phase is voluntary, and we may restrict or revoke access at our sole discretion.
17. Data Handling During Beta Phase
Data submitted or generated during the beta phase may be subject to loss or deletion. We recommend that you maintain backups of your data. Alogram Inc. is not responsible for any loss of data during the beta phase, and any data you provide may be erased or reset before the full release.
18. Termination and Suspension
We reserve the right to suspend or terminate your account for any reason, including failure to pay subscription fees or breach of these terms. If your account is suspended or terminated, you will no longer have access to our services, and no refunds will be issued for the remaining billing cycle.
19. Limitation of Liability
Alogram Inc. will not be held responsible for any indirect, incidental, or consequential damages arising from your use of the services.
20. Account-Related Communications
By subscribing, you agree to receive transactional emails and communications related to your account, such as billing updates, payment reminders, and service notifications.
21. Marketing & Promotional Communications
You may also opt in to receive marketing and promotional communications from us. This includes product updates, special offers, and invitations to participate in beta programs. You can manage your communication preferences at any time by adjusting your account settings or contacting us at [email protected].
22. Amendments
We reserve the right to amend this TOS. Any significant changes will be communicated via email or account notifications. Continued use of the service after changes implies acceptance.
Alogram Inc. - Software License Agreement
Effective Date: October 16, 2024
This Software License Agreement ("Agreement") is between Alogram Inc. and you, the user. By subscribing to our SaaS service under any plan (Starter, Growth, or Scale), you accept and agree to the terms outlined in this Agreement.
1. License Grant
Subject to your subscription and compliance with the TOS, we grant you a limited, non-exclusive, non-transferable license to access and use our software in accordance with your chosen subscription tier:
Starter: Limited to 50,000 fraud predictions per month.
Growth: Limited to 500,000 fraud predictions per month.
Scale: Limited to 5 million fraud predictions per month.
2. Usage Restrictions
You may not sell, lease, sublicense, distribute, or otherwise commercialize the software.
You may not modify, reverse engineer, or attempt to extract the source code of the software, unless permitted by law.
Use of the software in a way that infringes on intellectual property rights, violates laws, or disrupts service is strictly prohibited.
3. Intellectual Property Rights
The software and all related intellectual property remain the property of Alogram Inc. This Agreement does not transfer any ownership rights to you. All trademarks, service marks, and trade names remain the exclusive property of Alogram Inc.
Alogram’s fraud detection and management technology is protected by U.S. Patent No. 12,400,164.
Additional intellectual property is in development to further advance AI-native risk detection and compliance automation.
4. Software Updates and Maintenance
You agree to install and use updates provided by us. These may include security patches, bug fixes, or new features. Failure to update may result in suspension or termination of the service.
5. Data Usage for Model Training
By using the service, you acknowledge and agree that Alogram Inc. may use data collected through the service to train and improve machine learning models. These models may be used commercially to enhance the service and other related offerings.
Any data used for model training will be anonymized and aggregated where applicable, ensuring that individual users cannot be identified.
No personal data will be sold or shared with third parties except as necessary to provide the services or comply with legal obligations.
6. User Control Over Data
You have the right to control certain aspects of how your data is used. You may contact us at [[email protected]] to request that your data be excluded from model training. However, opting out may impact the performance or availability of certain features.
7. Termination of License
Your license is valid as long as your subscription is active. Alogram Inc. may terminate this license immediately if you violate the terms of this Agreement or the TOS. Upon termination, you must cease all use of the software.
8. Limitation of Liability
Alogram Inc. is not liable for any damages arising from the use of our software, except in cases of gross negligence or intentional misconduct. The maximum liability will not exceed the fees paid for the current subscription period.

User Acknowledgement
During the subscription process, users must agree to the following acknowledgment:
"I have read and agree to the Terms of Service and Software License Agreement. I acknowledge that Alogram Inc. may collect and use data generated from my use of the service to train machine learning models for commercial purposes, in accordance with the Terms of Service and Privacy Policy. I understand that the service is in beta, and I accept the risks and limitations associated with the beta phase."
